Infineon has agreed to divest its NOR Flash and F-RAM business to Winbond through an all-cash deal worth $1.12 billion, calculated on a cash and debt free basis.
The unit includes a range of NOR Flash memory chips and F-RAM products used by clients in the automotive, industrial and infrastructure sectors. Completion of the deal depends on regulatory clearance, with both companies aiming to close the sale in the latter half of 2027.
Peter Schiefer, who heads Infineon’s automotive division, described the deal as a strategically sound move for everyone involved. He noted that it lets Infineon concentrate its resources and investment on key growth areas, while giving the NOR Flash and F-RAM operations room to reach their full potential under new ownership.
Winbond, a major player in the memory chip space, was positioned as a natural buyer capable of accelerating growth for the acquired unit. Pairing Winbond’s current memory lineup with Infineon’s NOR Flash and F-RAM catalogue is expected to give customers access to a wider, complementary range of products. Once the deal closes, Winbond plans to run the business as a separate entity based out of Silicon Valley.
Infineon, meanwhile, will retain its other specialty memory offerings, such as SRAM, HYPERRAM, nvSRAM and radiation-hardened SONOS memory. These product lines stay central to Infineon’s lineup for automotive, industrial, infrastructure, aerospace and defence use cases, including reliable memory tech built for space applications.
